{"id":75735,"date":"2022-08-24T09:00:51","date_gmt":"2022-08-24T08:00:51","guid":{"rendered":"https:\/\/www.bullhorn.com\/uk\/?p=75735"},"modified":"2022-10-13T19:28:30","modified_gmt":"2022-10-13T18:28:30","slug":"why-ma-activity-is-on-the-rise-and-how-recruitment-agencies-can-benefit","status":"publish","type":"post","link":"https:\/\/www.bullhorn.com\/uk\/blog\/why-ma-activity-is-on-the-rise-and-how-recruitment-agencies-can-benefit\/","title":{"rendered":"Why M&#038;A Activity Is on the Rise \u2013 and How Recruitment Agencies Can Benefit"},"content":{"rendered":"<p><span style=\"font-weight: 400;\">From an M&amp;A perspective, 2022 is on track to be one of the busiest years in over five years, with estimates of up to 140 transactions in the recruitment industry by the end of the year.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">But I haven\u2019t needed data to tell me M&amp;A is a hot trend: merging clients is at the center of many of my consulting projects at Bullhorn, and I have a personal passion for identifying ways to expedite the post-merge process.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">I found further confirmation that this was a hot topic at our <a href=\"https:\/\/www.bullhorn.com\/resources\/engage-content-hub\/\">Engage Boston<\/a> event earlier this year, as I spoke with customers and listened to the panel discussion on \u201cThe Evolving Staffing M&amp;A Landscape and Preparing for Your Next Move.\u201d The panelists shared insights into the process of identifying a company to acquire, tips to go about the acquisition, and critical success factors in post-sale merge.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Moderated by Peter Linas, Chief People Officer &amp; EVP, Corporate Development &amp; International at Bullhorn, the panel included a mix of investors and recruitment leaders:<\/span><\/p>\n<ul>\n<li><span style=\"font-weight: 400;\">David Schwartz, Senior Managing Director, Blackstone<\/span><\/li>\n<li><span style=\"font-weight: 400;\">Gregory Netland, The Netland Group<\/span><\/li>\n<li><span style=\"font-weight: 400;\">Dustin Abbs, Director of Corporate Development, The Planet Group<\/span><\/li>\n<li><span style=\"font-weight: 400;\">Brian Waller, Chief Executive Officer and Co-Founder, Vaco<\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">Here\u2019s what they had to say about this year\u2019s trends in recruitment mergers and acquisitions.<\/span><\/p>\n<h3><b>Why the increase in M&amp;A activity?<\/b><\/h3>\n<p><span style=\"font-weight: 400;\">Peter Linas kicked things off by asking the panel their insight on the recent increase in M&amp;A transactions in the recruitment industry. \u201cThe shift in the industry from being historically surge-driven and low-skilled labour to a strategic approach with higher-scale labour on a contingent basis has made the industry more scalable and investable from a private equity perspective. That has driven a lot of M&amp;A activity,\u201d David Schwartz noted. <\/span><b><i>\u00a0<\/i><\/b><span style=\"font-weight: 400;\">\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Dustin Abbs added, \u201cThere is a strong pipeline and an appetite to acquire. As interest rates rise, PE agencies will be more protective of their balance sheet and things will slow down in the next year or so.\u201d<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Gregory Netland really summed up things on the overall reasons for the increase: \u201cThe recruitment industry has proven that it is more resilient. During the pandemic, I learned that everyone has a playbook. Agencies were able to scale down, leverage their tools, and scale back up as needed.\u201d<\/span><\/p>\n<p>&nbsp;<\/p>\n<a href=\"https:\/\/www.bullhorn.com\/connected-recruiting\/guide\/?LS=Website&amp;LSD=Blog&amp;LA=Connected_Recruiting_Guide_2022&amp;LAD=Connected_Recruiting_Guide_2022&amp;utm_source=blog&amp;utm_medium=website&amp;utm_campaign=connected_recruiting_guide_2022\"><img loading=\"lazy\" decoding=\"async\" class=\"aligncenter size-full wp-image-75953\" src=\"https:\/\/www.bullhorn.com\/uk\/wp-content\/uploads\/sites\/2\/2022\/07\/Connected_Recruiting_Guide_Launch_Assets_1200x200_B_V3.png\" alt=\"\" width=\"1200\" height=\"200\" srcset=\"https:\/\/www.bullhorn.com\/uk\/wp-content\/uploads\/sites\/2\/2022\/07\/Connected_Recruiting_Guide_Launch_Assets_1200x200_B_V3.png 1200w, https:\/\/www.bullhorn.com\/uk\/wp-content\/uploads\/sites\/2\/2022\/07\/Connected_Recruiting_Guide_Launch_Assets_1200x200_B_V3-768x128.png 768w, https:\/\/www.bullhorn.com\/uk\/wp-content\/uploads\/sites\/2\/2022\/07\/Connected_Recruiting_Guide_Launch_Assets_1200x200_B_V3-300x50.png 300w\" sizes=\"auto, (max-width: 1200px) 100vw, 1200px\" \/><\/a>\n<p>&nbsp;<\/p>\n<p>&nbsp;<\/p>\n<h3><b>What drives organisational value?<\/b><\/h3>\n<p><span style=\"font-weight: 400;\">The conversation pivoted to some interesting recommendations from the panel on ensuring the future value of your organisation and ways to make your organisation more attractive to buyers.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">David highlighted three areas to work towards for high valuation: the level of organic growth; high, sustainable margins; and having a diversified value proposition. Adding new accounts and attaining deeper penetration into larger accounts are two ways to demonstrate the kind of growth investors are looking for.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">I think these really hit the nail on the head, as one of the key drivers to increased recruiting has been the recruitment industry\u2019s reduction in overall volatility, which is directly connected to diversifying your offerings, expanding your portfolio, and finding ways to do more with less.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">On that same topic, both David and Brian Waller attributed value to people, process, and technology. David commented, \u201cHaving a good tech stack helps from an organic perspective and also from an acquisition perspective.\u201d<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Gregory had some good insight on your process and people: \u201cSetting up a good recruitment and talent engine to bring good people in is essential. Get them up to speed and retain them.\u201d<\/span><\/p>\n<p><span style=\"font-weight: 400;\">In addition to having a well-defined tech stack, a strong delivery engine, and recruiting model, Dustin also brought up diversification of an organisation&#8217;s portfolio of business: \u201cGeography, industry, diversity in your employees. It provides resiliency through ups and downs and helps with valuation.\u201d\u00a0\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">As my world at Bullhorn is focused on helping clients do more with less, this was definitely a big takeaway on how technology will drive increased margins. But that isn&#8217;t the only aspect. The new technology must be paired with a strategic organisational structure and strong processes \u2014 <a href=\"https:\/\/www.bullhorn.com\/connected-recruiting\/\">like our Connected Recruiting methodology<\/a> \u2014 that ensure your top billers are focused on efficiency and aren\u2019t spending too much time on administrative or repetitive tasks.<\/span><\/p>\n<h3><b>What are some key takeaways from past deals?<\/b><\/h3>\n<p><span style=\"font-weight: 400;\">As expected, some of the most insightful parts of the panel were lessons learned from past deals. The common thread was communication; all panelists agreed it was important to loop people in as early as possible while balancing the due diligence process.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Gregory highlighted, \u201cThere is this instinct to keep things quiet, but that underestimates people\u2019s intelligence in a way. Be able to communicate clearly what is happening. Focus on staff communication, and help them focus on giving everything a chance.\u201d\u00a0\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">The final area the panel touched on was about the post-sale experience and staff retention. Gregory had a few more key points around communication, being sure to include your team in key decisions, and keeping a close eye on compensation. He also touched on the importance of showing employees their career path options.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">What else helps post-sale processes go more smoothly? I would be remiss if I didn\u2019t offer my own perspective of what I have seen over the past 18 months of helping numerous companies merge. The key factor to success is top-down leadership alignment. It is crucial for senior leadership to agree on a go-forward way of doing business.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">This is true for many aspects of the business, from brand planning (which Brian noted as a frequently overlooked item) to organisational structure and standardised rules of engagement with similar clients and candidates. Once leaders agree on how to approach these challenges, kicking off and executing a merge project is so much smoother, while projects in which these items weren\u2019t discussed can take double the time.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Overall, the panelists expect M&amp;A activity to keep increasing, and there were some comments on possible market shifts.
